Welcome to Millenz! These Terms of Service ("Terms") govern your use of the Millenz website, business portal, mobile apps, and related services (collectively, the "Service"), operated by Millenz ("we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Accounts & Eligibility

⚠️ Age Requirement: You must be at least 18 years old to create an account and use the Service. Millenz is a professional business platform designed for adult users only.

By creating an account, you confirm that you are 18 years of age or older.

You agree to provide accurate and complete information when creating your account.

You are responsible for maintaining the confidentiality of your account and password, and for all activity that occurs under your account.

Businesses creating accounts must ensure they are authorized to act on behalf of the business.

2. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

3. Service Description

Millenz provides a community platform where:

Businesses can:

• Manage profiles
• Share posts
• Offer vouchers
• Engage with customers

Customers can:

• Connect with businesses
• Redeem offers
• Participate in community features

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

4. User Content & Ownership

You retain ownership of any content you create or upload ("User Content").

By posting or uploading User Content, you grant Millenz a non-exclusive, worldwide, royalty-free license to use, display, host, modify, and distribute it solely for the operation and promotion of the Service.

You are responsible for ensuring your User Content is lawful and does not violate the rights of others.

5. Prohibited Conduct

You agree not to use the Service to:

✗ Post unlawful, abusive, harassing, defamatory, obscene, or otherwise objectionable content.
✗ Impersonate others or misrepresent your affiliation with any person or entity.
✗ Upload viruses, malware, or harmful code.
✗ Spam, solicit, or engage in fraudulent or deceptive practices.
✗ Infringe the intellectual property or privacy rights of others.

6. Moderation & Enforcement

We may remove or restrict access to any User Content that violates these Terms or our community standards.

We may suspend or terminate accounts at our discretion, especially for repeated or severe violations.

Users may report inappropriate content or activity, which we will review in good faith.

7. Payments & Transactions

Some features of the Service may involve payments (e.g., business subscriptions, vouchers, or third-party integrations such as Stripe).

All payments are processed securely by third-party providers. We do not store your payment card details.

Businesses are solely responsible for transactions with their customers. Millenz is not liable for disputes, refunds, or losses arising from such transactions.

8. Third-Party Services

The Service may include links or integrations with third-party services (e.g., AWS, Stripe, analytics providers). We are not responsible for the content, privacy practices, or terms of those third-party services.

9. Termination & Suspension

We may suspend or terminate your account and access to the Service immediately, without prior notice, if:

• You breach these Terms.
• Your actions cause harm to us, other users, or the Service.

You may delete your account at any time by contacting us.

10. Updates to Terms

We reserve the right to modify these Terms at any time. If we make material changes affecting your rights or obligations:

Business accounts: Changes will be posted on our website. Continued use of your Business account after the changes constitutes acceptance.

Customer accounts: Changes will be posted within the mobile app. Continued use of the app after the changes constitutes acceptance.

11. Disclaimers & Limitation of Liability

We make no guarantees that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Millenz and its affiliates shall not be liable for indirect, incidental, special, or consequential damages (including lost profits or data).

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

Any dispute arising under these Terms shall be resolved by binding arbitration under the rules of the International Chamber of Commerce (ICC), except that we may seek injunctive relief in U.S. courts as necessary to protect our intellectual property.
